Terms of Service

Effective March 21, 2026 Thrive Technologies Inc. Governed by Ontario Law

Please read these Terms carefully. By creating an account or using Thrive, you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Thrive Technologies Inc. ("Thrive," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada.

These Terms govern your access to and use of the Thrive mobile application, website located at thrive.finance, and all related services, features, and content (collectively, the "Services").

By registering for an account, downloading the app, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Eligibility

To use the Services, you must meet the following eligibility requirements:

  • Age: You must be at least 18 years of age. Thrive is not intended for individuals under 18, and by using the Services, you represent and warrant that you are 18 or older.
  • Residency: You must be a resident of Canada. The Services are designed and offered specifically for Canadian residents and their financial accounts at Canadian financial institutions.
  • Legal capacity: You must have the legal capacity to enter into a binding contract under applicable law.
  • Not previously banned: You must not have been previously suspended or removed from the Services by Thrive.

If you do not meet these requirements, you are not permitted to use our Services. By using Thrive, you represent and warrant that you satisfy all eligibility requirements.

Account Creation and Security

Registration: To access most features of Thrive, you must create an account by providing accurate, current, and complete information including your name and email address. You agree to keep your account information up to date.

One Account Per Person: You may only create and maintain one account. Creating multiple accounts for the same individual is prohibited.

Password Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Choose a strong, unique password for your Thrive account
  • Enable multi-factor authentication when available
  • Notify us immediately at customerservice@thethriveapp.net if you suspect unauthorized access to your account
  • Not share your account credentials with any third party
  • Sign out of your account when using shared or public devices

Account Responsibility: You are responsible for all activity that occurs under your account. Thrive is not liable for any loss or damage arising from unauthorized use of your account due to your failure to maintain appropriate security.

Accurate Information: You agree not to impersonate any person or entity, or falsely represent your identity or affiliation with any person or entity when creating or maintaining your account.

Acceptable Use

You agree to use Thrive only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services for any unlawful purpose or in violation of any applicable federal, provincial, or local laws or regulations
  • Attempt to gain unauthorized access to any portion of the Services, any server, network, or system connected to Thrive
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Thrive application
  • Use automated scripts, bots, scrapers, or other automated means to access or interact with the Services
  • Transmit any viruses, malware, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Services or data contained therein
  • Collect or harvest any personally identifiable information from the Services
  • Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks
  • Use the Services for money laundering, fraud, or any other financial crime
  • Resell, sublicense, or commercialize any portion of the Services without our express written consent

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating accounts and reporting to law enforcement.

Financial Information Disclaimer

Thrive is not a financial advisor, registered investment advisor, broker-dealer, or financial planner. Nothing in the Services constitutes financial, investment, tax, legal, or accounting advice.

The information, insights, budgeting tools, and AI-generated recommendations provided through Thrive are for informational and educational purposes only. They are based on the financial data you connect and general financial principles. They do not take into account your complete financial situation, risk tolerance, investment objectives, or personal circumstances.

Before making any financial decisions — including decisions about RRSPs, TFSAs, FHSAs, investments, debt repayment, or major purchases — you should consult with a qualified and licensed financial professional, tax advisor, or legal counsel as appropriate.

Thrive does not guarantee the accuracy, completeness, or timeliness of any financial data, calculations (including contribution room estimates), or AI-generated content. Financial data is provided by your financial institutions through Plaid and may be subject to delays or errors beyond our control.

Your use of any information provided through Thrive is entirely at your own risk. Thrive expressly disclaims all liability for any financial losses or decisions made in reliance on information provided through the Services.

Plaid and Third-Party Integrations

To connect your financial accounts to Thrive, you will be directed to use services provided by Plaid Technologies, Inc. ("Plaid"). Your use of Plaid's services is subject to Plaid's own End User Privacy Policy and Terms of Service, which you agree to when connecting your accounts.

By connecting a financial account through Plaid, you:

  • Authorize Thrive and Plaid to access your financial account information on a read-only basis
  • Acknowledge that your financial institution may have its own terms governing third-party access to your accounts
  • Understand that Thrive has no ability to initiate transactions, move funds, or modify your accounts in any way
  • Agree that Thrive is not responsible for Plaid's security practices, data handling, or any service interruptions caused by Plaid

Thrive may also integrate with other third-party services from time to time. Your use of any third-party service through Thrive is governed by that third party's terms and policies. Thrive is not responsible for the actions, content, or privacy practices of any third-party services.

You may disconnect your financial accounts at any time through the Thrive app or by contacting us. However, Plaid may retain certain data pursuant to their own retention policies.

Subscriptions and Billing

Free Tier: Thrive offers a free tier with core features available at no charge.

Paid Subscriptions: Certain premium features may require a paid subscription ("Thrive Pro"). If you subscribe to Thrive Pro:

  • Billing: You authorize Thrive to charge your payment method on a recurring basis (monthly or annually, as selected) at the then-current subscription price.
  • Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.
  • Cancellation: You may cancel your subscription at any time through your account settings or through the Apple App Store / Google Play Store. Cancellation takes effect at the end of the current billing period. We do not provide partial refunds for unused portions of a subscription period.
  • Refunds: All purchases are final except where required by applicable Canadian consumer protection law. If you have a billing dispute, contact customerservice@thethriveapp.net within 30 days of the charge.
  • Taxes: Subscription prices do not include applicable taxes (HST/GST). Applicable taxes will be added at checkout based on your province of residence.

In-app purchases made through the Apple App Store or Google Play Store are subject to those platforms' billing terms and refund policies.

Intellectual Property

The Services and all content, features, and functionality thereof — including but not limited to the Thrive name and logo, app design, user interface, text, graphics, images, software, and underlying code — are owned by Thrive Technologies Inc. and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of the application, unless you have our written permission or are permitted to do so by law.

Your Content: You retain ownership of any data you submit to Thrive (including your financial data). You grant Thrive a limited license to use this data solely to provide and improve the Services as described in our Privacy Policy.

Termination

Termination by You: You may delete your account at any time through the app settings. Upon deletion, we will deactivate your account and begin the process of deleting your personal data in accordance with our Privacy Policy. Your access to the Services will cease immediately upon deletion.

Termination by Thrive: We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason including:

  • Violation of these Terms or our Privacy Policy
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity (where permitted by law)
  • Discontinuation of the Services (with reasonable advance notice)

Effect of Termination: Upon termination, all licenses and rights granted to you will immediately cease. Provisions of these Terms that by their nature should survive termination — including Sections 5, 10, 11, 12, and 13 — will survive termination.

We will fulfill any data deletion or export requests in accordance with our Privacy Policy even after account termination.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Thrive expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, reliability, completeness, or timeliness of any financial data, calculations, or AI-generated content
  • Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are prohibited by law, those exclusions shall not apply to you, and your rights under applicable consumer protection legislation are not affected by these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL THRIVE TECHNOLOGIES INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages resulting from your use of or inability to use the Services
  • Damages resulting from any financial decisions you make based on information from the Services
  • Unauthorized access to or alteration of your data
  • Any other matter relating to the Services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF THRIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ALL CASES, THRIVE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO THRIVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Indemnification

You agree to indemnify, defend, and hold harmless Thrive Technologies Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services in a manner not authorized by these Terms
  • Your violation of any third-party right, including any intellectual property right or privacy right
  • Any claim that your use of the Services caused damage to a third party
  • Your violation of any applicable law or regulation

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you. In such case, you agree to cooperate fully with us in asserting any available defenses.

Governing Law and Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision.

Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of competent jurisdiction located in the City of Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts.

Informal Resolution: Before initiating any formal legal proceeding, you agree to first contact us at customerservice@thethriveapp.net to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

Class Action Waiver: To the extent permitted by applicable law, you and Thrive agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Nothing in this section limits your rights as a consumer under applicable Canadian consumer protection legislation, including the right to file a complaint with a government body or regulator.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of these Terms
  • Send a notification to your registered email address
  • Display a prominent in-app notice

For non-material changes, we may update the Terms without specific notice. We encourage you to review these Terms periodically.

Your continued use of the Services following the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and may delete your account.

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Thrive regarding the Services and supersede all prior agreements and understandings.
